These Terms of Service (“Terms”) govern your access to and use of the Dovi's Food Service Management website and application (the “Service”). By accessing or using the Service, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not use the Service.
1. Who We Are
The Service is operated by Dovi's Food Service Management (“Dovi's Food Service Management,” “we,” “us,” or “our”). Contact: no-reply@eventsbydovi.com.
2. Eligibility
You must be at least 13 years old to use the Service. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.
3. Accounts & Security
You may need an account to use certain features. You agree to provide accurate information, keep your credentials confidential, and notify us promptly of any unauthorized access or use of your account. You are responsible for all activity under your account.
4. Acceptable Use
You agree not to:
- Use the Service for unlawful, fraudulent, or harmful activity
- Attempt to gain unauthorized access to the Service or related systems
- Interfere with or disrupt the Service (including by scraping, probing, or overloading)
- Upload malware or malicious code
- Reverse engineer, decompile, or attempt to extract source code (except where prohibited by law)
- Use the Service to infringe intellectual property or privacy rights
5. User Content
You may be able to submit content (such as vendor info, menus, notes, or operational data) (“User Content”). You retain ownership of your User Content. You grant us a limited license to host, store, display, and process your User Content solely to operate and improve the Service.
6. Third-Party Services
The Service may integrate with third-party tools (for example: Google Sign-In, Google Analytics, payment processors such as Stripe, hosting providers, and email services). Your use of third-party services may be subject to their terms and policies. We are not responsible for third-party services.
7. Subscriptions, Fees, and Payments
Some features may require payment now or in the future. If you purchase paid features, you agree to: (a) provide accurate billing information, (b) authorize us or our payment processor to charge your payment method, and (c) pay applicable taxes. Fees are generally non-refundable except where required by law or where we explicitly state otherwise.
8. Intellectual Property
The Service (including its design, text, graphics, interfaces, code, and trademarks) is owned by Dovi's Food Service Management or its licensors and is protected by applicable intellectual property laws. You are granted a limited, non-exclusive, non-transferable, revocable license to use the Service for your internal business purposes in accordance with these Terms.
9. Termination
We may suspend or terminate your access to the Service at any time if we believe you violated these Terms or if we need to protect the Service, users, or the public. You may stop using the Service at any time. Certain sections of these Terms will survive termination (including IP, disclaimers, limitation of liability, and indemnification).
10. Disclaimer of Warranties
The Service is provided on an “AS IS” and “AS AVAILABLE” basis. To the maximum extent permitted by law, we disclaim all warranties, express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or fully secure.
11. Limitation of Liability
To the maximum extent permitted by law, Dovi's Food Service Management and its owners, employees, and affiliates will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, data, goodwill, or business opportunities, arising out of or related to your use of (or inability to use) the Service, even if we have been advised of the possibility of such damages.
To the maximum extent permitted by law, our total liability for any claim arising out of or related to the Service will not exceed the greater of (a) the amounts you paid to us for the Service in the 3 months preceding the event giving rise to the claim, or (b) $100.
12. Indemnification
You agree to defend, indemnify, and hold harmless Dovi's Food Service Management and its affiliates, owners, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or related to: (a) your use of the Service, (b) your User Content, or (c) your violation of these Terms or applicable law.
13. Changes to These Terms
We may update these Terms from time to time. If we make material changes, we will update the “Last Updated” date and may provide additional notice (such as via the Service or email). Your continued use of the Service after changes become effective constitutes acceptance of the updated Terms.
14. Governing Law
These Terms are governed by the laws of the State in which Dovi's Food Service Management is organized, without regard to conflict of law rules. You agree to submit to the exclusive jurisdiction of courts located in that state for disputes arising out of or related to these Terms or the Service.
